1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and National Health Group LLC, doing business as AwareWell (“we,” “us,” “our,” or “AwareWell”). These Terms govern your access to and use of the AwareWell website (awarewell.com), our online booking system, and our health screening services (collectively, the “Services”).

The Services are offered and available to individuals who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 years old and legally able to form a binding agreement.

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.

2. Screening Services

2.1 Nature of Services. AwareWell provides preventive health screenings, including but not limited to ultrasound imaging, electrocardiograms (EKG), point-of-care blood panels, blood pressure measurement, oxygen saturation measurement, and ankle-brachial index measurement. Our screenings are designed to identify potential health risks and are not a substitute for regular medical care.

2.2 Not Medical Diagnosis or Treatment. AwareWell screening services do not result in a medical diagnosis and do not replace regular contact and follow-up with your physician or healthcare provider. Our screenings are informational in nature and are intended to provide you with health awareness data to share with your healthcare provider. No physician-patient relationship is established through AwareWell screening services.

2.3 Screening Limitations. No screening test can detect every possible health condition. It is possible to receive normal screening results and still develop or have an undetected medical condition, including stroke, heart disease, cancer, or other illness. Our screenings do not evaluate all forms of cardiovascular disease, cancer, or other conditions. If you are experiencing symptoms of a medical emergency, including chest pain, sudden weakness, difficulty breathing, or sudden severe headache, SEEK MEDICAL ATTENTION IMMEDIATELY by calling 911. Do not delay seeking emergency care based on your AwareWell screening results.

2.4 Clinical Oversight. All AwareWell screening procedures are performed under the standing orders of a licensed California physician who serves as our Lab/Medical Director. Ultrasound images are interpreted by an independently contracted, board-certified diagnostic radiologist. All clinical personnel are trained and competency-verified in accordance with applicable California law and our clinical protocols.

2.5 Participant Responsibilities. You agree to: (a) provide accurate and complete information on the intake questionnaire and consent form; (b) inform screening staff of any medical conditions, medications, or symptoms that may affect your screening; (c) follow any pre-screening preparation instructions; and (d) follow up with your own healthcare provider regarding your screening results.

3. Insurance, Payment & HSA/FSA

3.1 Cash-Pay Model. AwareWell does not participate in Medicare, Medicaid, or any health insurance program. The cost of our screening services is not covered or reimbursable by Medicare or Medicaid. AwareWell does not file insurance claims, does not accept insurance assignment, and does not provide referrals to any physician group or hospital.

3.2 Pricing. All screening packages are offered at flat, transparent prices as displayed on our website and at our screening events. Prices may change from time to time. The price in effect at the time of your booking is the price you will be charged.

3.3 HSA/FSA. AwareWell screening services may be eligible for payment using Health Savings Account (HSA) or Flexible Spending Account (FSA) funds. Eligibility is determined by your plan administrator. AwareWell does not guarantee HSA/FSA eligibility and is not responsible for reimbursement disputes with your plan.

3.4 Payment. Payment is due at the time of booking or at the time of service. We accept major credit cards, debit cards, HSA/FSA cards, and other payment methods as displayed at checkout.

4. Booking, Cancellation & Rescheduling

4.1 Booking. Appointments may be booked through our website, by phone, or at a screening event.

4.2 Cancellation. If you cancel more than 48 hours before your scheduled appointment, you will receive a full refund to your original payment method. If you cancel less than 48 hours before your appointment, a $50 cancellation fee may apply, with the balance refunded or issued as a credit toward a future screening.

4.3 Rescheduling. You may reschedule your appointment at no charge with at least 48 hours’ notice. Rescheduling with less than 48 hours’ notice is subject to the same cancellation fee.

4.4 No-Shows. If you do not attend your scheduled appointment without prior notice, no refund will be issued.

5. In-Home Concierge Services

you agree to: (a) provide a safe, clean, and well-lit environment; (b) ensure access to an electrical outlet; (c) have a responsible adult present during the screening; and (d) keep pets secured in a separate room. AwareWell reserves the right to decline or discontinue an in-home visit if conditions are deemed unsafe.

6. Results Delivery

6.1 Timeline. Results are typically delivered within 3–5 business days. Participants who purchase the Comprehensive Prevention package may receive prioritized results within 24–48 hours, subject to clinical review requirements.

6.2 Format. Results are delivered electronically through our secure participant portal. Ultrasound results include a signed radiology report from our contracted radiologist.

6.3 Abnormal and Critical Findings. If your results include abnormal or critical findings, we will make reasonable efforts to notify you promptly. You acknowledge that it is your responsibility to follow up with your healthcare provider regarding any screening results.

6.4 Not a Guarantee. AwareWell does not guarantee any particular health outcome. Results reflect conditions at the time of testing and are subject to inherent device and method limitations.

7. Communications

By providing your contact information, you agree to receive communications related to your screening appointment, results delivery, and follow-up regarding abnormal or critical findings. These are transactional and clinical communications necessary to deliver our services.

You may separately consent to receive marketing communications. Marketing consent is never a condition of receiving our services.

Email: Unsubscribe from marketing emails by clicking “unsubscribe” in any marketing email.

SMS: Opt out of marketing text messages by replying STOP. Message and data rates may apply. Message frequency varies. Carriers are not liable for delayed or undelivered messages.

Opting out of marketing does not affect transactional or clinical communications (appointment confirmations, result delivery, critical finding notifications).

8. Intellectual Property

All content on the AwareWell website, including text, graphics, logos, images, and software, are the property of National Health Group LLC and are protected by United States intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission. You are granted a limited, non-exclusive license to access the website for personal, non-commercial use only.

9. Third-Party Content and Links

Our website may contain links to third-party websites or content. We do not control, endorse, or assume responsibility for any third-party websites. Your use of third-party websites is at your own risk. We do not transmit your health screening data or health information to third-party advertising platforms through our website.

10. Account Registration

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access.

11. Disclaimer of Warranties

THE WEBSITE AND ALL INFORMATION, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AWAREWELL DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. INFORMATION PROVIDED THROUGH THE WEBSITE OR OUR SERVICES IS NOT MEDICAL ADVICE. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR QUALIFIED HEALTHCARE PROVIDER. NEVER DELAY SEEKING MEDICAL ADVICE BECAUSE OF INFORMATION ACCESSED THROUGH THIS WEBSITE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWAREWELL, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATED PHYSICIANS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM YOUR USE OF THE SERVICES.

IN NO EVENT SHALL AWAREWELL’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SCREENING SERVICE GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless AwareWell from and against any claims, damages, losses, liabilities, and expenses arising out of: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your failure to follow up with a healthcare provider regarding your screening results.

14. Governing Law and Dispute Resolution

Governing Law. These Terms shall be governed by the laws of the State of California.

Dispute Resolution. Any dispute shall first be submitted to good-faith mediation in Orange County, California. If unresolved within sixty (60) days, either party may pursue binding arbitration per the American Arbitration Association in Orange County. You agree that dispute resolution will be conducted on an individual basis and not as a class action.

15. Notice to California Residents

Screenings in California are provided by AwareWell under the clinical oversight of licensed California physicians. AwareWell does not engage in the practice of medicine. All screening procedures are performed under physician standing orders by trained clinical personnel.

16. General Provisions

Severability. If any provision is held invalid, the remaining provisions remain in full force.

Entire Agreement. These Terms, together with our Privacy Policy and HIPAA Notice, constitute the entire agreement between you and AwareWell.

Amendments. AwareWell may modify these Terms at any time. Material changes will be communicated on our website.

Waiver. Our failure to enforce any provision shall not constitute a waiver.

Assignment. You may not assign your rights under these Terms. AwareWell may assign in connection with a merger, acquisition, or sale.
